受顾客委派，深圳海运买卖股份有限子公司和深圳市航晴宝拍卖行以下简称子公司对两艘载重量吨为33217吨的竞拍外贸出口多功能船“XINYIHAI55”轮展开互联网申明竞拍受让。谢鲁瓦相关事宜报告书如下表所示：

二、竞买人条件及竞拍报名凡中华人民共和国境外具备完全民事行为能力且合法存续的受让书企业可参加竞买。成功报名的竞买人必须达到三家或三家以上，则展开互联网竞拍。如截止报名不足三家竞买人报名，则本场竞拍直接在报名截止后被撤回。参与竞买人须在深圳海运买卖平台（https://www.gse020.com/#/）登录,注册会员账户。上传报名材料包括：1、支付保证金的银行电子回单或凭证。2、竞买人身份证明文件：请在报名时上传企业注册登记证书、企业股东/董事身份证明、经办人身份证明、授权委派书等文件；3、属于委派经纪人/代理人参与竞拍的，需同时上传授权委派书和经纪人身份证明材料、经纪子公司营业执照/商业登记证书及深圳海运买卖股份有限子公司和委派方认可的其他材料。4、本次竞拍活动时间均以北京时间为准。互联网竞拍报名截止时间为北京时间2022年4月13日16:00，请在该时间内完成报名材料提交。只有保证金按时到账并完成互联网竞拍报名，获取竞买人编号之后，才能参与本次的互联网竞拍。竞买人竞拍报名成功后，视为充分知晓、接受和遵守该本报告书内容和深圳海运买卖股份有限子公司竞拍实施办法。三、竞拍保证金本次竞拍保证金为100万美元。竞买人须于北京时间2022年4月13日16:00前将保证金汇入深圳海运买卖股份有限子公司如下表所示监管账户（以到账为准，原则上不允许代付）。竞买人缴纳保证金，视为对本正股完全了解，并接受本正股一切已知和未知瑕疵。竞拍保证金美元收款账户账户名：深圳海运买卖股份有限子公司开户行：中国工商银行广东自贸区南沙分行账号：FTE4532056929200461763SWIFT CODE：ICBKCNBJGDG行号：102581000290汇款凭证注明：“XINYIHAI55”轮竞拍保证金。逾期支付保证金的竞买人视为无效竞拍方。竞拍成交的，本正股物竞得者（以下称中标方）交纳的保证金将在买卖合同签署后自动转为合同保证金，竞买未达成买卖的，保证金于竞拍结束后五个工作日内原路、全额、不计利息退还竞买人。竞拍成交，但买卖出现中止或终结情形时，如果中标方与委派方产生争议，竞拍保证金由深圳海运买卖股份有限子公司妥善保管，直至根据争议双方和解协议或生效法院判决、或仲裁机构裁定支付。四、竞拍时间和规则竞拍时间分为定时报价阶段和延时报价阶段。北京时间2022年4月14日15:30-16:00为定时报价阶段，16:00起为延时报价阶段。竞拍时段设置的应价时间截止，最后报价有效的竞买人为中标方；应价时间截止，所有竞买人均未报价的，本次互联网竞拍终结。我司采用深圳海运买卖平台互联网竞拍系统（https://www.gse020.com/#/boatbidding）展开互联网在线竞拍。首次报价不得低于正股底价，下一次报价的加价不低于3万美元；竞拍设置延时出价功能，在延时报价阶段，4分钟倒计时内如果有竞买人出价，系统立即重新倒计时4分钟。直至最终无人出价，系统最终显示的最高报价者即为正股竞拍中标方。竞买人须谨慎出价，并妥善保管自己的账号和密码，所有本账号的操作，均视为本人操作并对自身行为负责。每个会员账号仅能在一台终端设备登录，为保障竞买人的正常参与，建议使用电脑操作，推荐使用360浏览器(极速模式）、IE浏览器（11），请勿使用手机出价。竞拍活动的时间以深圳海运买卖平台互联网竞拍系统时间为准，由于竞买人自身原因导致时间不符而未按时参与竞拍或因竞买人自身的终端设备和互联网异常影响正常竞拍，委派方、深圳海运买卖股份有限子公司和深圳市航晴宝拍卖行以下简称子公司不承担任何责任。因不可抗力或（和）第三方原因导致网站服务异常、竞拍活动中断的，委派方、深圳海运买卖股份有限子公司和深圳市航晴宝拍卖行以下简称子公司不承担任何责任；深圳海运买卖股份有限子公司和深圳市航晴宝拍卖行以下简称子公司将发布补充报告书并说明中断事由，等网站服务恢复正常后发布新的竞拍报告书，按新的竞拍报告书组织完成互联网竞拍。五、竞拍结束后，中标方需于竞拍结果产生当日邮件签署《竞拍成交确认书》。中标方签署竞拍成交确认书后，应与受让方联系船只买卖合同签订。如中标方拒绝签署竞拍成交确认书或船只买卖合同，则视为违约，保证金不予退还，中标方还应承担赔偿损失等法律责任。深圳海运买卖股份有限子公司有权重新组织实施竞拍。中标方应承担重新组织实施竞拍所产生的费用，若再行组织实施竞拍成交金额低于原竞拍结果的，其差价由中标方负责支付。六、费用支付本次竞拍服务费按照成交价额的1%收取，由中标方在不迟于正股交接前5个工作日内向深圳海运买卖股份有限子公司支付。七、成交价款余款支付中标方签订船只买卖合同后按买卖合同条款要求支付全额成交价款。中标方逾期支付的，视为违约，中标方无权要求返还保证金。八、船只交接本正股船只预计最早交船日为2022年6月20日，最晚交船日为2022年8月20日±7天。二手船只买卖协议以《二手船买卖合同2012年挪威格式》（NSF＇2012）为基础展开起草并加入本报告书中对船只买卖的条件约定，以及双方协商一致的其他条款。签署船只交接证明书前，受让方应付清所有船款及相关费用。船只交割完毕后，深圳海运买卖股份有限子公司以收到的船只交接证明书为依据，在收到受让方的书面划转通知后3个工作日内，将船款不计利息的汇入受让方账户。九、本次竞拍，受让方仅提供船只及油料的形式发票。其余受让过户时产生的所有税费等，全部由受让方承担。十、本次竞拍的正股不含随船所存的油料。随船所存的油料应以受让方与受让方在船只交接当日共同测量的实际值为准，并以船只最后一次加油发票价格作为结算依据。中标方应在船只交接当日将该笔油款汇至委派方指定账户。十一、以船只交接证明书的签署为界，船只交接证明书签署前正股产生的一切费用及保管责任由受让方承担；船只交接确认书签署之后，正股所产生的费用及风险责任均由受让方承担，正股的保管责任也由受让方承担。十二、声明深圳海运买卖股份有限子公司和深圳市航晴宝拍卖行以下简称子公司对竞拍正股物所作的说明和提供的视频资料、图片等，仅供竞买人参考，不构成对竞拍正股物的任何担保。受让方按照现时现状出售船只，竞买人一旦支付保证金参加竞买，即视为已完全了解竞拍正股的所有情况，包括但不限于与船只证书、船只状况等相关的一切已知及未知的瑕疵。竞买人不得以任何理由对竞拍正股质量等瑕疵提出异议。竞买人应当遵守竞拍规则，不得阻挠其他竞买人竞拍，不得操纵、垄断竞拍价格，严禁竞买人恶意串通。上述行为一经发现，将取消其竞买资格，并追究相关的法律责任。未尽事宜由深圳海运买卖股份有限子公司、深圳市航晴宝拍卖行以下简称子公司、受让方、受让方协商解决。本报告书同时采用中文和英文展开描述，如果两种文字出现不符情况，以中文为准。十三、验船及交船地点受疫情和港口防控政策影响无法安排现场勘验。请详阅本船勘验报告了解船况。交船地点：由受让方根据航次动态决定在波斯湾，新加坡-日本范围内任一港口或锚地交船。十四、竞拍联系人秦女士: +86 13802779424 邮箱qiny@gse.net.cn周先生：+86 15918795024 邮箱zry@gse.net.cn特此报告书。

The first bid shall not be lower than the starting price, the increment of this bidding is USD30,000.00. The countdown shall automatically restart from 4 minutes when a bidder bids in the extension time bidding stage. At the end of countdown, the latest bidder who offers the highest price shall become the Buyer .Bidders must bid with cautious, and bidders are responsible for all operations under this account. Each member account can only be logged in on one terminal device. In order to ensure the normal operations of bidders, it is recommended to use a computer with 360 browser or IE browser . GSE has the right to reorganize the bidding. In the case of re-bidding, the original Buyershall pay the commission for the first bidding. Should the price of a re-bidding be lower than the price of the original bidding price, the original Buyershall pay for the balance.VI. CommissionThe Buyer will pay the commission of this bidding at 1% of the final price, the payment must be made to GSE no later than 5 working days before delivery.VII. The Balance PaymentAfter signing the Memorandum of Agreement, the Buyershall pay the full transaction price in accordance with the terms of the MOA. Overdue payment will be deemed as default. The Buyershall not be entitled to demand the refund of the Auction Deposit.VIII. Ship Delivery and AcceptanceExpected time of delivery: June 20, 2022-August 20(±7 days), 2022.The Buyer shall pay the full transaction amount and other related charges before signing the Protocol of Delivery and Acceptance (PODA).After the delivery of the ship, receiving the PODA and the formal Release Instruction，GSE will release the full amount of the ship without interest to the Entrusting Party’s account within 3 working days.IX. The Entrusting Party will only issue proforma invoice of the ship and the remaining fuel. All taxes and fees arising from the transfer shall be borne by the Buyer .X. The remaining fuel is not included in this bidding. The amount of fuel shall be jointly measured by the Seller and the Buyer on the day of delivery. The value of the remaining fuel is subject to the invoice price of the latest bunkering of this ship,the price of the fuels do not include taxes, any taxes or fees incurred shall be on Buyer’s account. The Buyer shall remit the value of remaining fuel in full amount to the Sellers designated account no later than the delivery day.XI. All expenses and custodial responsibility related to the ship is for the Seller before the signing of PODA.
